Runner Agreement

1. Introduction

This Runner Agreement ("Agreement") is entered into between you ("Runner," "you," or "your") and Work, Inc. ("Work," "we," "us," or "our"). This Agreement governs your participation as a Runner on the Work platform, including your creation, publication, and monetization of Constructs. This Agreement supplements and is incorporated into the Work Terms of Service.

2. Definitions

• "Construct" means a micro-application built by a Runner using the Work SDK and published on the Platform.
• "Stream" means a single instance of a User accessing and using a Construct through the Platform.
• "Revenue Share" (also called "Skim Rate") means the percentage of platform revenue attributable to your Constructs that you are entitled to receive.
• "Founding Runner" means a Runner who was accepted into the Founders Protocol program during the initial enrollment period.
• "Datafort" means the collection of all published Constructs available on the Platform.

3. Runner Eligibility and Application

3.1 Eligibility Requirements

To become a Runner, you must:

• Be at least 18 years old or the age of majority in your jurisdiction
• Have the legal capacity to enter into this Agreement
• Provide accurate and complete information in your application
• Comply with all applicable laws and regulations

3.2 Application Process

Runner applications are reviewed by our team. We reserve the right to accept or reject any application at our sole discretion. Acceptance is not guaranteed and may be based on factors including portfolio quality, platform needs, and application completeness.

3.3 Account Verification

We may require identity verification and tax documentation before you can receive payouts. You agree to provide requested documentation promptly and accurately.

4. Revenue Share and Compensation

Runners earn a percentage of Platform revenue attributable to their Constructs:

Revenue is calculated monthly based on the proportion of total platform streams attributable to your Constructs. The calculation formula is:

4.3 Payout Terms

• Minimum payout threshold: $25 USD
• Payout frequency: Monthly, within 30 days of month end
• Payout methods: Bank transfer, PayPal, or other methods we make available
• Founding Runners receive priority in the payout queue

4.4 Taxes

You are responsible for all taxes on your earnings. We may be required to withhold taxes and/or report your earnings to tax authorities. You agree to provide accurate tax information (e.g., W-9 for US persons, W-8BEN for non-US persons) before receiving payouts.

5. Founders Protocol

5.1 Founders Protocol Benefits

Founding Runners who are accepted during the initial enrollment period receive lifetime benefits:

• Enhanced Revenue Share: 80% for first 50 Founders, 75% for Founders 51-100, locked for life
• Priority Payout Queue: Founders are paid before Standard Runners
• Free Lifetime Premium: Netrunner subscription ($29/month value) at no cost
• Governance Rights: Vote on platform features, policies, and roadmap items
• Founding Runner Badge: Permanent badge displayed on profile and all Constructs
• Direct Founder Access: Private communication channel with Work founding team
• Revenue Floor Guarantee: Minimum $100 payout when platform reaches $10K MRR (for Founders with approved Constructs)

5.2 Founders Protocol Obligations

To maintain Founding Runner status, you must publish at least one approved Construct within 90 days of acceptance and remain in good standing with the Platform.

6. Construct Requirements

6.1 Technical Requirements

All Constructs must:

• Be built using the Work SDK and approved component libraries (React, shadcn/ui)
• Be self-contained single-file applications
• Store data client-side using browser localStorage
• Be responsive and accessible (WCAG 2.1 AA compliance recommended)
• Not make external API calls without explicit approval
• Not contain malicious code, trackers, or unauthorized data collection

6.2 Content Requirements

Constructs must not:

• Contain illegal, harmful, or offensive content
• Infringe on intellectual property rights of third parties
• Impersonate or misrepresent affiliation with any person or entity
• Contain deceptive functionality or hidden features
• Violate any applicable laws or regulations
• Facilitate illegal activities

6.3 Review Process

All Constructs are subject to review before publication. We may reject, remove, or request modifications to any Construct at our discretion. Review decisions are final but you may resubmit modified Constructs.

7. Intellectual Property

7.1 Your Ownership

You retain ownership of the original code and content you create for your Constructs. Work does not claim ownership of your intellectual property.

7.2 License Grant to Work

By publishing a Construct, you grant Work a worldwide, non-exclusive, royalty-free license to:

• Host, store, and distribute your Construct through the Platform
• Display your Construct and associated metadata (name, description, screenshots)
• Modify your Construct as necessary for technical compatibility
• Use your Construct for promotional purposes (with attribution)
• Create derivative analytics based on Construct usage

This license continues for as long as your Construct remains on the Platform and for a reasonable period thereafter for archival purposes.

7.3 Third-Party IP

You represent and warrant that your Constructs do not infringe on any third-party intellectual property rights. You are solely responsible for ensuring you have the right to use any third-party code, assets, or content in your Constructs.

8. Runner Conduct

8.1 Professional Standards

As a Runner, you agree to:

• Act professionally and ethically in all interactions
• Provide accurate information about yourself and your Constructs
• Respond to platform communications in a timely manner
• Report bugs, security issues, or policy violations you discover
• Not engage in fraudulent or manipulative behavior

8.2 Prohibited Activities

You agree not to:

• Artificially inflate stream counts or manipulate metrics
• Create multiple accounts to circumvent restrictions
• Copy or substantially replicate other Runners' Constructs
• Engage in keyword stuffing or misleading metadata
• Harass, threaten, or discriminate against others
• Use automated tools to submit Constructs or interact with the Platform
• Share account credentials with third parties

9. Relationship of Parties

You are an independent contractor, not an employee, agent, or partner of Work. This Agreement does not create an employment, agency, partnership, or joint venture relationship. You are responsible for your own equipment, workspace, and business expenses. You are not entitled to any employee benefits from Work.

10. Confidentiality

You agree to keep confidential any non-public information about the Platform, including but not limited to: unreleased features, internal metrics, business strategies, and communications with the Work team. This obligation survives termination of this Agreement.

11. Termination

11.1 Termination by You

You may terminate this Agreement at any time by deleting your Runner account. Upon termination, your Constructs will be removed from the Platform.

11.2 Termination by Work

We may terminate or suspend your Runner account at any time for any reason, including violation of this Agreement or the Terms of Service. We will provide notice when reasonably practicable.

11.3 Effect of Termination

Upon termination: (a) your Constructs will be removed from the Platform; (b) you will receive any earned but unpaid revenue above the minimum threshold; (c) Founding Runner benefits will cease (except for earned revenue share rates on historical earnings); (d) provisions that by their nature should survive will continue in effect.

12. Disclaimers and Limitations

THE PLATFORM IS PROVIDED "AS IS." WE MAKE NO GUARANTEES REGARDING CONSTRUCT VISIBILITY, STREAM COUNTS, OR REVENUE. PLATFORM AVAILABILITY, FEATURES, AND REVENUE SHARE RATES (EXCEPT FOR LOCKED FOUNDING RUNNER RATES) ARE SUBJECT TO CHANGE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WORK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR PARTICIPATION AS A RUNNER.

13. Indemnification

You agree to indemnify and hold harmless Work and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including attorneys' fees) arising from: (a) your Constructs; (b) your violation of this Agreement; (c) your violation of any third-party rights; or (d) your violation of any laws.

14. Modifications to Agreement

We may modify this Agreement at any time. We will notify you of material changes at least 30 days before they take effect. Your continued participation as a Runner after the effective date constitutes acceptance of the modified Agreement. Founding Runner revenue share rates are locked and will not be reduced by Agreement modifications.

15. Dispute Resolution

This Agreement shall be governed by the laws of Delaware. Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules. The arbitration shall take place in Wilmington, Delaware.
